COVID-19 Cancellations: To Refund or Not to Refund?  (Thank you, Kelly!)


Quantum Meruit (Thank you, Fausto!)
Quantum meruit is a Latin phrase meaning “what one has earned”. In the context of contract law, it means something along the lines of “reasonable value of services”.
In the United States, the elements of quantum meruit are determined by state common law. For example, to state a claim for unjust enrichment in New York, a plaintiff must allege that (1) defendant was enriched; (2) the enrichment was at plaintiff’s expense; and (3) the circumstances were such that equity and good conscience require defendants to make restitution.[1]

It literally means “paid for what is due.” 

Add a Quantum meruit.clause. This means if there is a cancellation by either party for whatever reason… IE Force Majeure, etc. You get paid for what you did, and as if the event had happened.


So you total up your cost (mitigation)
Production meeting,
Planning meeting,
Layout drawings
Venue walk thru-Site visit
Admin (acct) time to process the order-payment,
Sales rep compensation
Maybe compensate staff if scheduled. (some states require)
Contribution (profit) had the event happened.
Total up and deduct from the money received, give the rest back.
